About MCA Sierra Leone
The Millennium Challenge Account (MCA) in Sierra Leone, collaborating with the government of Sierra Leone and the Millennium Challenge Corporation (MCC) of the Government of the United State of America, delivers projects under the $500 million compact that address development challenges in the country through the implementation of the Power Sector Reform Project, the Transmission Backbone Project and the Distribution and Access Project. 

Position Objective
The General Counsel will serve as a critical member of the senior management team of the MCA. The General Counsel will serve as the principal legal officer and senior policy advisor on legal matters for the MCA. The General Counsel will also serve as a technical resource to the MCA Sierra Leone governing board (Board), management team, and other staff of the MCA to ensure that MCA operations comply with legal requirements to mitigate risk and protect the organization. The General Counsel will act as the corporate secretary to the Board of the MCA and the General Counsel will have responsibility for managing and supervising subordinate staff and other legal resources as may be necessary for proper functioning of the MCA.
Duties and Responsibilities
  • Provide or coordinate legal advice on all issues affecting MCA operations, including corporate governance, employment, procurement, and financial activities.
  • Advise the Board and MCA management on the legal implications of compact projects and activities.
  • Ensure MCA activities comply with all relevant obligations, laws, regulations, governance documents, and MCC policies.
  • Advise on legal and regulatory compliance matters, preparing reports and identifying solutions to compliance issues.
  • Serve as the corporate secretary of the Board, ensuring Board meetings and actions comply with all requirements.
  • Maintain necessary and appropriate records for the MCA.
  • Participate in negotiations, draft, review, and advise on various contracts and agreements.
  • Advise on employment matters, ensuring compliance with applicable laws and regulations.
  • Identify and advise on potential fraud, corruption, and conflicts of interest, and coordinate related training and advice.
  • Represent MCA in legal matters, manage junior legal staff, and oversee the procurement and management of additional legal experts as needed.
Requirements (Education, Experience, Technical Competencies)
  • Appropriate degree in law and qualified to practice law in Sierra Leone.
  • Minimum of ten years of relevant experience at a law firm or as legal counsel in Sierra Leone; in-house counsel experience preferred.
  • Knowledge of international law and Sierra Leone laws, including contract, corporate, construction, employment, finance, and procurement laws.
  • Experience advising on and implementing international agreements with foreign governments.
  • Experience as or with a corporate secretary on governance, compliance, and record-keeping matters.
  • Proven ability to manage and resolve contract disputes.
  • Ability to work in both national and international contexts and coordinate with government entities.
  • Strong interpersonal skills and ability to work effectively with diverse teams.
  • Proven supervisory or management experience of attorneys and other staff.
  • Fluent written and verbal communication skills in English; communication skills in Krio strongly desired
